To complete EDGAR annual confirmation, an account administrator signs in to the EDGAR Filer Management dashboard with Login.gov, reviews and corrects the filer’s account details, authorized individuals, delegations, user groups, and active filer API tokens, and then selects Annual Confirmation to confirm on behalf of the filer. The filer’s due date appears at the top of its dashboard.
Annual confirmation is an EDGAR account-management requirement. It is separate from preparing or submitting a quarterly Form 13F.
What Is EDGAR Annual Confirmation?
Under EDGAR Next, each filer must confirm annually that the users, account administrators, technical administrators, and delegated entities shown on the filer’s dashboard are authorized to act for the filer and that the dashboard information is accurate.
The SEC instructs account administrators to review the dashboard carefully and correct inaccurate information before confirming. This review helps protect the account and removes people or organizations that should no longer have access.
Who Can Complete the Confirmation?
Any one of the filer’s account administrators can complete annual confirmation for that filer. A user, technical administrator, or delegated entity is not automatically authorized to perform the confirmation merely because that person or entity can help with filings.
When Is Annual Confirmation Due?
The annual confirmation is due at the end of the quarter selected for the filer’s ongoing confirmation deadline:
- March 31
- June 30
- September 30
- December 31
If the applicable date falls on a weekend or holiday when EDGAR is not operating, the deadline moves to the next business day. The exact due date is displayed at the top of the filer’s EDGAR Filer Management dashboard. Beginning six weeks before that date, EDGAR sends reminder emails and dashboard notifications to the filer’s account administrators.
Can you confirm early?
Yes. An account administrator may confirm earlier within the quarter in which confirmation is due. An administrator may also confirm during an earlier quarter, but doing so changes the filer’s future confirmation quarter. The next deadline will be the quarter-end date one year after the quarter in which the early confirmation occurred.
What to Review Before Confirming
1. Account details
Open Account Details and review the filer’s information, including contact information and the website address. Use the appropriate company-information process to correct inaccurate company or individual information. The website address can be edited from the dashboard using the pencil icon.
2. Authorized individuals
Open Manage Individuals and review every authorized person and assigned role, including account administrators, users, and technical administrators. Remove people who are no longer authorized and correct inaccurate role information before confirming.
3. Delegations and user groups
Open Manage Delegations and User Groups. Review every authorized CIK and user group. Confirm that each delegated entity is still authorized and that each user-group configuration remains accurate.
4. Active filer API tokens
If the filer uses filer API tokens, open Manage Filer API Token. Review each active token and its expiration date. An expired or unnecessary token should not be overlooked simply because the individuals and delegations are correct.
How to Complete EDGAR Annual Confirmation
- Go to the SEC’s EDGAR Filer Management website.
- Sign in with your own Login.gov individual account credentials and complete multifactor authentication.
- Open My Accounts.
- Select the relevant filer to open that filer’s dashboard.
- Review Account Details and correct inaccurate information.
- Review every person listed under Manage Individuals.
- Review Manage Delegations and User Groups.
- If applicable, review active tokens under Manage Filer API Token.
- Select Annual Confirmation at the top-center of the filer dashboard.
- Read the two prompts carefully and select responses that accurately reflect the filer’s account.
- If the information is accurate and you are authorized to act, select I CONFIRM ON BEHALF OF THE FILER.
EDGAR should display a success message and send confirmation emails to the filer’s account administrators. The dashboard should then display the next annual confirmation date, generally the quarter-end date one year after the quarter in which the current confirmation was completed.
Security reminder: Use your own Login.gov account. Do not share Login.gov passwords, multifactor authentication codes, recovery codes, passkeys, or EDGAR API tokens by email or chat.
What Happens If You Miss the Deadline?
Missing the displayed deadline does not immediately deactivate the filer’s account. The filer receives a three-month grace period in which to complete annual confirmation. During that period, the filer keeps EDGAR access, can continue making submissions and managing its account, and its account administrators receive daily email and dashboard reminders.
If no account administrator completes confirmation by the end of the grace period, EDGAR will deactivate the filer’s account. The filer must then submit a new Form ID application. If SEC staff grants access, the filer keeps its existing CIK and filing history, but previously authorized individuals and prior delegations will no longer be effective. The account administrators listed on the new Form ID must rebuild the access structure.
Can One Administrator Confirm Multiple CIKs at Once?
The SEC’s adopting release explains that bulk annual confirmation is not permitted. Each filer’s dashboard information must be reviewed before that filer is confirmed. If your organization manages several filing entities or CIKs, maintain a separate due-date and review record for each filer.
Keep Annual Confirmation Separate From Form 13F Preparation
A current EDGAR account helps prevent access problems, but annual confirmation does not prepare or validate a Form 13F information table. Firms should manage annual account confirmation and quarterly filing preparation as related but separate workflows.
